1. USAGE

1.1

These terms of use ("Terms and Conditions") apply to the delivery and your use of the Service (as defined below). The Service is provided by DROPE ApS, Constancevej 11, 9000 Aalborg, VAT.nr: DK44590360 ("DROPE"), to (end-users) (“consumers”) in Denmark.

1.2

By registering as a user or using the Service, you agree to the following terms and confirm that you have read and understood DROPE's Terms and Conditions.

1.2.1

By accessing, downloading, or using the App, you unconditionally agree to be bound by these Terms and Conditions and all terms mentioned herein. Unless otherwise stated, the App's content, data, including software, appearance, functional layout, the content graphical elements, and databases regardless of their nature, format, recording methods, as well as presentation are solely exclusively to DROPE's property.

1.3

All Services, as well as solutions delivered by DROPE, are provided in accordance with applicable laws and these terms and conditions.

1.4

The Services are targeted but not limited to individuals over 18 years old.

2. DEFINITIONS

2.1

In these Terms and Conditions, and in relation to the Service, the following definitions apply:
DROPE service” and “Service” refer to the electronic solution provided by DROPE for handling, and storing cloakroom tickets digitally, direct payment, and notifications about location status via a Mobile Application.
App” refers to DROPE's Mobile Application on mobile phone/smartphone;
Service(s)” s as defined in 2.1;
Website” refers to DROPE's website https://drope.dk;
Customers” and “Partnere” Refers to any other business that DROPE collaborates with or has a contractual relationship with, including nightclubs, conference centers, music halls,theaters, festivals, etc.,
Consumer” is the end-user who purchases the cloakroom ticket;

Definitions may appear elsewhere in these Terms and Conditions.

3. TERMS AND CONDITIONS FOR THE SOLUTION

3.1 GENERAL

3.1.1

DROPE offers an electronic/digital solution, in the form of modern cloakroom management ("DROPE service"), whereby DROPE in collaboration with nightclubs, conference centers, music halls, theatres, festivals, etc.;("Customers" and "Partners"), allows the Consumer to receive the cloakroom ticket digitally on their mobile phone or smartphone via the app ("App"). The App developed by DROPE includes check-in and check-out of valuables, direct payment, notifications about location status, and any other services provided by DROPE to the Consumer at any time, is collectively referred to as ("DROPE service").

3.2 REGISTRATION AND ACCESS TO THE SERVICE

3.2.1

To use the App, you need to download it on your mobile device (phone) from a relevant online store: (a) AppStore – for iOS or (b) Google Play – for Android. For proper use of the App, a device with internet access(network)is required, which is not rooted or subjected to any form of jailbreak procedure, and an iOS or Android system in one of its latest versions is required. If you decide to download and use the App on a device that does not meet the criteria, we cannot ensure that the App will function correctly. Additionally, your device must not have any software installed that could negatively affect the app.

3.2.2

It is a necessary condition for the Consumer to register with DROPE to use the Service. DROPE reserves the right to reject a registration.

3.2.3

Registration with DROPE means using the application ("App"), by consenting the Consumer gives DROPE the right to store the Consumer's name, email, and optionally date of birth as long as it is necessary to identify the registered individual for the purpose for which the relevant personal data is processed.
Registration also involves setting up the payment method. Here, the Consumer chooses between Apple Pay, Google Pay, or manual entry of credit card details. Payment details are stored with Stripe, and not DROPE. We set high standards for our partners, and our partners must guarantee that your personal data is protected. Stripe has a (DPA) Data Processing Agreement () publicly available on their website, describing data processing at Stripe (https://stripe.com/en-dk/legal/dpa).

3.2.4

Once the registration is complete, the app is ready for the consumer to use. When the Consumer scans the NFC chip on the hanger, the cloakroom ticket is received digitally via the app, while the payment is automatically processed.

3.2.5

Additionally, we ask for permission to use users' voluntary information/data. This information includes location data, which will be actively accepted when handing in the jacket for desired notifications. The consumer also has the option to opt out of this feature and avoid receiving notifications based on location data.

3.2.6

In connection with the handover of valuables, location data is actively enabled by the consumer, but no more than f 6 hours after check-in.

3.2.7

If the Consumer chooses to share the cloakroom ticket with a third party, the responsibility for the storage of valuables in the cloakroom is shared with the relevant third party.

3.2.8

Certain services offered through the app require the Consumer to allow the "Location" and/or "Allow Notifications" functions in the mobile phone settings. During registration, you must register in accordance with the Terms & Conditions and the current options available in the App. By completing and accepting an appropriate registration form, you declare: (a) that you have read the Terms
& Conditions and accepted all its provisions, (b) that you ensure that all information provided by you in the registration form is true.

4. PAYMENT INFORMATION

4.1

Payment is made for a service that primarily covers the cloakroom storage of garments.

4.2

DROPE collaborates with a third-party payment solution, Stripe, to offer the Consumer an easy and secure payment through the DROPE App. To automatically charge money upon check-in, DROPE, in collaboration with Stripe, needs your card information. DROPE refers to Stripe for more information regarding payment terms for the relevant payment methods.

4.3

All payments via our app are handled by Stripe, including processing of card and personal information. DROPE at no point has access to card details, and we neither store nor retain it. Stripe alone handles and is responsible for your payment information. (DPA)

5. PRICES AND SERVICE FEES

5.1.1

The calculation and determination of the price and service fee the Consumer pays to DROPE is dependent on the cloakroom ticket price, which is set by the Partner ("the Customer") at any given time. All payments from the Consumer to DROPE are in Danish kroner (DKK) and include VAT.

6. CONSUMER'S RESPONSIBILITIES AND OBLIGATIONS

6.1

The app can only be used for its original purpose. The app can also only be used for personal use as described in the Terms and Conditions.

6.2

Your account is personal and cannot be used by anyone other than you. You are responsible for all activity that takes place through your account. It is your responsibility as a consumer to manage access to your email, which
your account with DROPE is linked to, and other credentials securely to prevent unauthorized access.

6.3

The Consumer is responsible for ensuring the Mobile phone can function correctly and is always compatible with DROPE's Service(s) and App. The Consumer is also responsible for ensuring that the App and the mobile phone are always updated.

6.4

If the consumer has distributed, authorized, or otherwise made tickets available to third-party use, the consumer assumes full responsibility under this agreement for such use.

6.5

The Consumer has an obligation to provide accurate information as required by DROPE to create a user.

6.6

You also have an obligation to update your information if it becomes outdated. Credit information must be updated as soon as possible. You have one submission before the option to submit a jacket is removed. If you update your credit information, the given amount that has not yet been withdrawn will be withdrawn. This amount is withdrawn from your bank account linked to the specified card.

7. DROPE'S RESPONSIBILITIES AND OBLIGATIONS

7.1

DROPE is responsible for fulfilling the obligations described under these Terms concerning the services provided to you, in accordance with the specified processes and standards described herein.

7.2

DROPE's goal is for the service to be available 24 hours a day, seven days a week. However, DROPE reserves the right to temporarily interrupt the Service for reasons including but not limited to, technical errors, software updates, system maintenance, planned changes, or power outages.

7.3.1

Our platform may contain links to other websites not operated by us. If you click on a third-party link, you will be directed to that third-party's website. We strongly recommend you review the privacy policy of every website you visit.

7.3.2

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

8. DROPE'S LIABILITY

8.1. DROPE is not responsible for:

8.1.1

Loss of the Consumer's cloakroom items, or other property stored in the cloakroom when using DROPE's cloakroom ticketing service.

8.1.2

Damage to the Consumer's cloakroom item or other property stored in the cloakroom when using DROPE’s cloakroom ticketing service.

8.2 DROPE is not liable for loss or damage incurred as a result of:

8.2.1

Errors or negligence, including but not limited to, (a) incorrect registration of name and email, (b) incorrect initiation or termination of a Service, (c) the Consumer otherwise not following instructions from DROPE or the relevant Partner (the Customer).

8.2.2

If the Partner or the Consumer has acted contrary to and not complied with their obligations according to this Agreement and DROPE's instructions.

8.2.3

Insufficient functionality of a Device. DROPE is not liable for errors and lack of functionality (such as sudden damage or power loss) on Devices used for DROPE's Services, including but not limited to, the Consumer's mobile phone.

8.2.4

Forgotten and uncollected wardrobe items.

8.2.5

Incorrect issuance of wardrobe items to the Consumer by wardrobe staff.

8.2.6

Interruption, breakdown, or delay in telephone, internet, or other communication networks provided by parties other than DROPE, or actions or omissions by the telecommunications operator that affect the functionality or availability of the Service, including but not limited to the Consumer's phone or other technical equipment being unable to communicate with the DROPE service, resulting in the inability to display the wardrobe ticket.

9. CONFIDENTIALITY

9.1

DROPE is bound by confidentiality regarding all information and circumstances that DROPE becomes aware of when you use the Service ("Privacy Policy").

10. FORCE MAJEURE

10.1

Neither party shall be liable for any failure to perform its obligations under these Terms and Conditions if such failure results from circumstances beyond the reasonable control of the party affected, including, but not limited to, acts of God, war, terrorism, labor strikes, natural disasters, or any other force majeure event. DROPE cannot be held liable for delays or failure to deliver the Service due to circumstances beyond DROPE's reasonable control.

11. AMENDMENTS

11.1

DROPE reserves the right to modify the terms at any time with the revised version in the app. Acceptance of the revised version is mandatory for continued use of the service. By using the services, you confirm your understanding and acceptance of the applicable terms.
